Ch 128; 1999 Tex. SB 598 SYNOPSIS: A BILL TO BE ENTITLED AN ACT relating to actions regarding certain computer date failures. BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS: [*1] SECTION 1. FINDINGS AND PURPOSE. (a) Whereas, in the early years of the computer and information technology industries, programmers adopted conventions to use limited and expensive computer memory and computer processing capacity as efficiently as possible. Among those conventions was the widely adopted representation of years by the last two digits of the year. Programmers and designers of products containing computer processors continued to use this convention for a variety of reasons, including compatibility with existing products and databases, the desire to save expenses by adapting existing programs to new uses, and the anticipation that computers, programs, and products would be replaced as outdated or obsolete before 2000. (b) Whereas, many computers, computer products, and computer services are and will be unable to distinguish or process properly dates with years beginning with 2000. That inability affects and will affect the proper functioning of those computers, computer products, and computer services and the ability of those products to accurately process, store, receive, transmit, or in any way use dates or date data, which is commonly referred to as the "Year 2000" or "Y2K" problem.

by Kathleen Ohlson (IDG) Seven states have passed legislation to protect themselves from most year 2000-related lawsuits, and several other states are following with proposed laws of their own. And depending on the state in question, corporate America may feel more than a pinch. The liability legislation is meant to protect states from becoming bogged down with nuisance lawsuits if things go wrong when the clock strikes midnight on Dec. 31, 1999. Proponents say the laws are necessary to protect the states - and in the end, taxpayers - from frivolous lawsuits. But opponents question whether the laws will mean that businesses that rely on the states for revenue, as well as individual consumers, have little, if any, legal recourse in the year 2000 aftermath.

A summary of the act is available at the Information Technology Association of America's Web site ( www.itaa.org/year2000/y2kactsum.htm The law calls for a company that experiences a Y2K failure to send a detailed notice to the prospective defendant before filing a lawsuit. The notice must describe the failure and the remedy sought and give the defendant the opportunity to make things right. The defendant has 30 days to respond with an offer to fix the problem or go to arbitration. Then the defendant has 60 days to come up with a plan for the fix or begin arbitration. With this kind of timetable in mind, Hassett said, "today you need procedures in place and an idea of how you will respond." That means knowing the process specified in the Y2K law, having all the information you need to initiate an action including contact people and addresses for each vendor and keeping the boilerplate parts of a letter ready to go so that you can fire it off quickly in the event of a failure and start the clock ticking, he said.

It is estimated that litigation to result from Y2K might approach one trillion dollars. In such cases, the CEO and anyone working on Y2K might become a witness for three to five years of deposition.

The greatest risk most companies face is "supply-chain due diligence" - which will need to be copiously documented.

USA Today reports that companies are using a little-exercised clause to sue their insurance companies for compensation for Y2K repairs:
"...companies are dusting off a legal theory known as the 'sue and labor' clause. The clause is meant to encourage policyholders to minimize damage ahead of disasters."

Y2K SUIT MAY BRING EARLY TEST OF NEW FEDERAL LAW: A millennium bug defendant says the case of allegedly fraudulent advertising for software belongs in U.S. court. By Craig Anderson/Daily Journal Staff Writer In the first-time attempt to invoke the recently signed federal law limiting year 2000 lawsuits, a group of national retailers accused of unfair business practices for selling software that might not work properly next year has removed the class action complaint to federal court. "We think it will get a closer look [in federal court]," Phillips said. "It clearly falls under the [Y2K] act." The Y2K law, approved after intense lobbying by the software industry, mandates a 90-day cooling off period to give defendants an opportunity to correct any problems before litigation can be filed. Phillips said that clock should have started running Thursday, when the case was removed to Federal court. Jones said Staples' removal of the case to federal court is a bid for tactical advantage in the ongoing settlement discussions.
