Many dot-coms fail to consider the possible implications
of the stock options that they so blithely issue.

by Jay Fenster Although some dot-coms are handing out stock options like candy, many of these same companies do not fully focus on the tax implications of such grants. While many factors should be considered when developing equity grant programs, unquestionably one of the more important, but least understood, aspects of option grants is federal income-tax consequences. A stock option essentially is a contract between an employer and an employee in which the employer agrees to sell its stock to is employee at a stated price. In general, there are two kinds of employee stock options: incentive stock options and nonqualified stock options. The two different types of options produce different tax results for employers and employees. Incentive stock options are generally taxed under Internal Revenue Code Sections 421 and 422. Non-qualified options are taxed under Section 83 and, in particular, Treasury Regulation Section 1.83-7. Generally, an employee who receives a non-qualified stock option will not recognize any income, nor will the granting company be entitled to any deduction, in the year of the grant. Furthermore, in the case of an option subject to delayed vesting, no taxable event will occur in the year the option vests.

Definitions
In this regulation: "action" has the same meaning as in Rule 1 (8) of the Supreme Court Rules; "court" means the Supreme Court of British Columbia; "date of trial" means the date set for trial in a notice of trial filed under the Supreme Court Rules; "insurer" means an insurer, as defined in the Financial Institutions Act , that (a) has provided a policy of insurance to a party in an action to which this regulation applies in relation to matters or property in issue in that action, and (b) under that policy, is obligated to indemnify the party for liability imposed on the party in the action, and includes a surety of such a party in circumstances in which a claim has been made on a surety bond related to the matters in issue in that action; "mediation" means a collaborative process in which two or more parties meet and attempt, with the assistance of a mediator, to resolve issues in dispute between them;

Remedies are of two types, legal and equitable. An example of a legal remedy is monetary damages . An example of an equitable remedy is an injunction . The origin of the distinctions between the two types of remedies is historical. The American legal system is based upon English common law . At common law, there were two distinct systems of courts; the courts of law which had the power to award monetary damages and the courts of equity or chancery which were presided over by a chancellor and had the power to grant equitable remedies. A single wrong may give rise to a right to several different remedies. For example, a breach of contract might entitle the injured party to an amount of money sufficient to compensate for the breach ( compensatory damages ) or an order from the court commanding the breaching party to perform its contractual obligations ( specific performance ). Today, in the American legal system the distinctions between law and equity have been largely abolished and a court of general jurisdiction will usually have the power to grant both legal and equitable relief.

    This article is concerned with laws of politics and jurisprudence : rules of conduct which mandate and/or proscribe specified relationships among people and organizations ; as well as punishments for those who do not follow the established rules of conduct. In ethics and moral philosophy this type of law is often called a "human legal code " to distinguish it from more fundamental laws applicable to all beings ( metaphysics ontology ). Such a body of laws can be seen as a legally-enforced ethical code or as a "secular moral code " (to the degree that political leaders replace religious leaders as moral examples ). Because lawyers and jurists more than other professions are self-regulating, almost by definition, they are often held to higher standards of behaviour or at least a stricter etiquette . These concerns are not part of this article, because those expectations and disciplines are specific to each legal code .
