Sauron: Offer and acceptance
"As a small token of your friendship Sauron asks this," he said: "that you should find this thief," such was his word, "and get from him, willing or no, a little ring, the least of rings, that once he stole. It is but a trifle that Sauron fancies, and an earnest of your good will. Find it, and three rings that the Dwarf-sires possessed of old shall be returned to you, and the realm of Moria shall be yours for ever. Find only news of the thief, whether he still lives and where, and you shall have great reward and lasting friendship from the Lord. Refuse, and things will not seem so well. Do you refuse?"
The Fellowship of the Ring, in "The Council of Elrond" It seems to me that's really two, maybe three separate offers. The first seems to be unambiguously an offer for a unilateral contract (to find the supposedly piddling ring for three of the Dwarf rings of power plus the estate of Moria), to be completed by performance. Dáin wouldn't want to bind himself to produce a ring; it's too risky. This seems like the straight-forward reward scenario envisioned as a prototypical offer for a unilateral contract. A few comments on material facts: You might say that Sauron should have disclosed the Balrog living in the deeps of Moria. But the Dwarves had ancient records of Moria which probably mention this, and Sauron is old enough to imagine that the Dwarves knew. It seems silly to require disclosure of a fact which, though admittedly material, is known to both parties, even though they never actually mention it to each other. The same sort of reasoning applies to the fact that the Dwarven rings are actually tainted (although Dwarves tend to resist his power a little better than men).

Thu, 16 Jan 2003 16:05:36 -0500 really, Michael I do not think they'll pay the price or rather honor their words. The terms and conditions probably make them "not liable" for typos, changes etc. and probably point to New York forum (and law). Since the Kodak case, e-businesses have learned quite a bit. However, they might give a discount for PR purposes and also to be able to say that contracts are absolutely binding "both ways"... for when they need it! European consumers probably think they would be protected in any case as consumers (thanks to some distance selling directive) but we know that in most cases we would end up being considered "business" even when going to Bora Bora...Maybe that's why I will not be going anytime soon ;) But, yes, revenge would be sweet Michael Sondow wrote: > Manon Anne Ress wrote: From OUT-LAW.com

110. Intellectual Property And Contract Law For The Information Age
of the Berkeley Technology law Journal provide a rich set of reflections on Article 2B s implications for intellectual property law and contract law in light
http://www.sims.berkeley.edu/~pam/papers/clr_2b.html
From the California Law Review, Vol 87, January 1999.
Intellectual Property and Contract Law for the Information Age: Foreword to a Symposium
Pamela Samuelson INTRODUCTION Article 2B of the Uniform Commercial Code (Article 2B) is a recently drafted model law that aspires to provide a standard set of rules that will regulate transactions in information products and services. It therefore seeks to do for the information economy what Article 2 of the current Uniform Commercial Code (U.C.C.) has done for the manufacturing economy and commerce in goods. Article 2B may soon be submitted to state legislatures for enactment into state law. Future United States proposals for global electronic commerce rules might also be based on its rules. Article 2B could thus become the world's preeminent law regulating transactions in information. Transactions in information comprise a significant portion of both the national and the international economies. According to the Clinton administration's A Framework For Global Electronic Commerce , the United States exports well over $40 billion worth of information products and services every year.

Acceptance “Executors” of a contract (i.e., acceptors) should show their willingness to the contents, without being forced. Executors should also be acceptable by law, i.e., they should be persons over 16 years of age and of sound state of mind (section 3). 117. Property And Contract On The Internet
Here are the possibilities (1) State courts could define a regime of compulsory terms through the administration of ordinary contract law just as they have
http://www.law.harvard.edu/Academic_Affairs/coursepages/tfisher/compuls99.html
Property and Contract on the Internet
William W. Fisher III Draft of May 1, 1999 The premise of this essay is a prediction: the creators of intellectual products suitable for distribution on the internet will soon come to rely less and less on intellectual-property law to enable them to charge consumers who wish access to their products and more and more on a combination of contractual rights and technological protections. The principal argument of the essay is that courts and legislatures should facilitate and reinforce that shift, but should require that creators (and consumers) when setting up such "private" arrangements abide by restrictions designed to protect the public interest. Part I of the essay contends that sensible legal regulation of the internet requires simultaneous solution of two questions: (a) What should be the default rules governing the relative rights of creators and users? (b) In what ways (if any) should creators and users be permitted to use contracts or technology to rearrange the pattern of entitlements created by the default rules? Part II proposes a set of criteria that could be used to choose among various possible combinations of responses to those two questions. Parts III-VI rely on those criteria to propose, for regulating the uses of intellectual products on the internet, a composite regime centered on the following propositions: Creators should be accorded by the default rules only a modest set of entitlements. Creators and users should be permitted (indeed encouraged) to modify those entitlements to their mutual advantage. The parties' contractual freedom should, however, be curtailed by a set of compulsory terms.
