Main Legal Aspects of Establishing a Subsidiary or a Branch Operation in Belgium
Legal Aspects The principal forms of business organisations are limited liability companies and branches. They are primarily regulated by the Companies Code Companies having their principal establishment in Belgium are treated as Belgian even if they are incorporated elsewhere.
The choice between a subsidiary and a branch often depends on the taxation structure in the foreign country from which the investment is made (e.g. use abroad of Belgian losses incurred in the start-up period of operations; taxation on repatriation of profits).
However, other aspects must also be considered, such as the administrative costs of running a small corporation, the protection and benefits of tax treaties available to resident companies or the financial structure of the Belgian operation. How to set up
your company in Belgium BVBA/SPRL versus NV/SA The procedure for setting up a NV/SA or a BVBA/SPRL is identical : The founders deposit the initial capital (if the capital is subscribed in cash) with a bank, and the bank issues a standard certificate confirming that the amount is held in a blocked "capital" account.
