37-2-7. Definitions.
The words defined in this section have the meanings set forth below whenever they appear in this chapter, unless the context in which they are used clearly requires a different meaning or a different definition is prescribed for a particular section, group of sections, or provision: (28) "State agency" means any department, commission, council, board, bureau, committee, institution, or other governmental entity of the executive or judicial branch of this state not otherwise established as a body corporate and politic, and includes, without limitation, the board of governors for higher education except for purchases which are funded by restricted, sponsored, or auxiliary moneys and the board of regents for elementary and secondary education. (29) "Governmental entity" means any department, commission, council, board, bureau, committee, institution, legislative body, agency, or government corporation of the executive, legislative, or judicial branches of state, federal, and/or local governments.

Representative offices
Foreign traders, firms and tour operators can set up their representative offices in Vietnam to search for business opportunities and promote their trading activities and tourism, however, they are not allowed to engage in profit-making operations in the country. They can open one or some representative offices in Vietnam but are barred from setting up branches of these representative offices in the country.
Foreign companies shall be granted a license for opening representative offices in Vietnam if they have made official business registration in accordance with the laws in the country concerned. Branches Foreign traders and foreign tourism companies can open a branch to engaged in profit-making business activities in Vietnam, however they are also barred from setting up representative offices of the branch in the country. This article is concerned with laws of politics and jurisprudence : rules of conduct which mandate and/or proscribe specified relationships among people and organizations ; as well as punishments for those who do not follow the established rules of conduct. In ethics and moral philosophy this type of law is often called a "human legal code " to distinguish it from more fundamental laws applicable to all beings ( metaphysics ontology ). Such a body of laws can be seen as a legally-enforced ethical code or as a "secular moral code " (to the degree that political leaders replace religious leaders as moral examples ). Because lawyers and jurists more than other professions are self-regulating, almost by definition, they are often held to higher standards of behaviour or at least a stricter etiquette . The most specific of these is the Trade Law, adopted in May, 1997 by the National Assembly of Vietnam. To guide the implementation of the law, the government issued:
  • Decree No 57, dated July 31, 1998, regulating export and import activities, processing for trade, and sale and purchase agencies
  • Decree No 45, dated September 6, 2000, regulating the establishment and operation of representative offices and branches of foreign companies in Vietnam
  • Other relevant laws such as the Civil Code and the Ordinance on Economic Contracts
As a result of this legislation, the following regulations and practices have gone into effect:
  • The right to handle export and import business has been expanded to all business entities in all economic sectors.
  • Vietnamese companies, including private firms, have the intrinsic right to export and import within the scope of registered business lines.
  • In addition to representative offices, foreign companies can now set up branches in Vietnam to undertake certain profit-making trading activities.
  • Vietnamese businesses, including private firms, are allowed to act as sale and/or purchase agents in Vietnam for foreign firms and individuals.

International law is the body of rules and norms that regulates activities carried on outside the legal boundaries of nations. In particular, it regulates three international relationships: (1) those between states and states, (2) those between states and persons, and (3) those between persons and persons.

Considering, due to the reorganization of the financial system it is imperative that norms and principles which have been valid until the present time, be updated, for they have become obsolete, to reconcile the operation of the financial institutions with the current phase of the economic development in the country. In that sense, the intention of the law aims is to conduct a profound revision of the above mentioned norms, in order to improve the discipline of foreign exchange operations, as well as establish a basic juridical-legal framework to regulate foreign exchange trade in a manner that takes into account the legitimate interests of the State and other economic entities In those terms, under the provisions of art 88 of the Constitution the National Legislative Assembly approves the following:
