7.3 Canadian Business Incentives The Canadian government believes that foreign investment is beneficial to Canada, and seeks to encourage foreign investors through the Investment Canada Act. The Act reflects an open-door policy towards new direct investment in Canada. However, there are regulations re-garding takeovers of existing Canadian businesses by foreign investors. Almost all new foreign direct investment in Canada is exempt from review. Notification is required by Industry Canada, which administers the Act, within 30 days after an investment transaction is completed, but generally no further action is required by the investor. A review may be required in the case of the direct acquisition of a Canadian business with assets of more than $5 million. However, neither a notice nor an application for review is required if:
  • the acquisition represents less than one-third of the voting shares of a corporation doing business in Canada;
  • the acquisition represents collection of security on a loan; or
  • the control of the Canadian business is only shifted on a temporary basis.
