Proponents of estate tax repeal claim that the estate tax is the leading cause of the dissolution of family businesses. However, the effect of the estate tax on family business has been greatly exaggerated.
According to the Treasury Department, of the 2.3 million people who died in 1998, only 776 left an estate with business assets equal to at least half the total estate. Put another way, only three out of every 10,000 people who died in 1998 had significant business assets. A recent Federal Reserve study found that the average small business is worth $702,566, well below the level at which estate taxes kick in. Family businesses are sold or closed for a variety of reasons.

It is important for practitioners to note that the family-owned business exclusion applies in addition to the IRC section 2032A special use valuation and section 6166 installment payment provision. Qualifying business interests. A family-owned business interest qualifies for relief if it is a trade or business interest in either a proprietorship or an entity of which 50% is owned by the decedent and members of his or her family, 70% is owned by members of two families or 90% is owned by members of three families. For an interest to qualify under the 70% or 90% tests, at least 30% of the entity must be owned by the decedent and members of his or her family. In the case of a corporation, the ownership test is based on the decedent's family owning a requisite percentage of the total combined voting power of all classes of stock entitled to vote and the total value of all shares of all classes of stock. In the case of a partnership, the ownership test is based on the decedent's family owning a requisite percentage of both the capital interests and the profit interests in the partnership.

Steven D. Popell Mediation of the value of a small business or professional firm can overcome many of the problems caused by each side in a marital dissolution action hiring its own expert. It will frequently be faster, cheaper and less emotionally draining then a process involving rival experts, and will offer a far better chance for a negotiated settlement. The necessity of valuing the various components of community property in a divorce will frequently cause the parties or their respective counsel to hire their own experts. While this system may give husband and wife some measure of comfort in the sense that someone is "in their corner", the disadvantages and dangers inherent in such a process often far outweigh whatever benefits might flow from expert partiality. This article explores some of the problems inherent in a process based upon rival experts, as well as how mediation might work to the advantage of both sides and how to give mediation the best chance to succeed. Problems with the Current system
There are many significant problems with the typical valuation process in a divorce context. For one thing, the valuation process it self is not an exact science. Therefore, there is a high likelihood of reasonable disagreement among experts. Moreover, if each side hires its own expert, one result maybe "unreasonable disagreement. " While any ethical expert will try to maintain objectivity, it is not unusual to find opposing experts so far apart as to render compromise difficult or impossible. If a valuation question must be settled in court, the outcome may be influenced as much by the relative skills of the experts as witnesses as by the intrinsic value of their testimonies. Should the more skillful testifier also be somewhat more partial than his or her counterpart, the eventual judgment may be inequitable. Ironically, the feeling of added security that the parties seek when they hire their own experts may be an illusion. Or, worse, it may backfire completely on one spouse.
