Technical aspects aside, there are some legal aspects of the Year 2000 Problem which should be carefully taken into consideration when assessing its impact as we enter the 21st century. Without trying to be exhaustive, this newsletter will address the legal issues of the Y2K Problem. Understanding the Y2K Problem However, the problem caused by the use of the two-digit year is not the only concern when we refer to the Y2K Problem. One must also be aware that the year 2000 is a leap year (a year during which an extra day is added in February; this occurs in all years divisible by the number 4). The leap year issue should, therefore, be a part of any Y2K due diligence program, in addition to other relevant dates such as January 1, 1999 (1/1/99) and September 9, 1999 (9/9/99) often used as either default dates or end dates in computerized systems. Accordingly, for better protection, the due diligence program must be completed and implemented before January 1, 1999.

Introduction The Year 2000 Legal Guide is one of the first works to comprehensively address the legal issues associated with the Y2K problem and is a worthy addition to any legal library. While some chapters lack sufficient references and detail the text will generally educate the uninitiated and test an expert's knowledge in relation to the whole ambit of Y2K legal issues. The work contains 16 sections, comprising a total of 59 chapters. The first section provides a concise technical and legal overview of the Y2K problem. This section prepares the reader for the thorough examination of specific issues that follow. However, Chapter A5, entitled 'Web sites that help lawyers fight the Year 2000 Problem', is a misnomer in that it only consists of 2 ¬ pages of Internet links to Y2K related sites. Extractions: Vol. 1, No. 2 - August 1998 Under growing pressure to achieve Year 2000 readiness, federal departments and agencies are resorting to a variety of means-some lawful, others apparently without basis-to impose Year 2000 requirements on current contractors. The initial attempts of the Health Care Financing Administration (HCFA) to impose such requirements illustrate the kind of issues that will likely confront those who contract with public agencies in the months ahead. Among the items to watch for: invitations to staggering liability and criminal sanctions, public finger-pointing by agencies and politicians, and conveniently ignored regulatory and statutory contracting requirements. Those who act without being informed will be playing with fire. HCFA has now backpedaled to a different approach, but not without wasting months in the process and provoking the ire of all involved. Generally, the approach that agencies take concerning their contractors is governed by the Federal Acquisition Regulation (FAR). The FAR indicates that Federal agencies shall ensure that their contracts are modified to require that non-compliant technology be upgraded to be Y2K compliant generally by December 31, 1999, to allow contractors to "properly exchang[e] data/time data" with other information technology. FAR §§ 39.002 and 39.106.

This group normally includes representatives from major business units, functional experts in areas such as manufacturing, disaster planning experts, and often a legal representative. Their charter is to develop and document the specific risk areas the company faces, perform an impact analysis, and determine the mitigation responses to those risks. Their efforts should be managed as a subproject in the overall Y2K project. Mission Important systems are those which would require urgent repair to restore processes or operations. However, a short (hours, days, or weeks, depending on the system) would have recoverable consequences. The revenue stream would not be significantly impacted. Each company will have its own viewpoint of which systems belong in which categories. In fact, each group or division within the company will have its own set of priorities. For this reason, the final determination of criticality should be done at the top of the organization so that there is a very clear understanding of where resources and emphases should be placed.
